2. Eligibility
This sweepstakes is only open to residents of the USA who are over 18 years of age and are not employees of TradeAlgo. Previous winners are not eligible to participate.
3. How to Enter
To enter the sweepstakes, follow these steps:
Entries must be received by 11:59 PM EST on April 15, 2023.
The sweepstakes begins on January 15, 2023 and ends on April 15, 2023.
4. Winner Selection
The winner will be selected through a random drawing. The odds of winning depend on the number of eligible entries received. The decisions of Sponsor are final with respect to all aspects of the promotion. The Sponsor reserves the right to verify eligibility qualifications of any winner. Incomplete entries will be disqualified. Any violation of these Terms and Conditions, fraud, tampering with the entry process or attempting to influence the outcome of the sweepstakes will result in disqualification as winner.

The prizes are not transferable and must be accepted as awarded. No substitution, assignment, or transfer of the prizes is permitted, except by the Sponsor, who reserves the right to substitute the prize with one of equal or greater value. 6. Process for Claiming the Prize
The winner(s) will be notified by email within 7 days of the selection date. In order to claim the prize, the winner(s) must respond to the notification email within 60 days and provide the following information:

8. Taxes
Each winner will be solely responsible for paying any taxes and any other expenses incurred by the winner in connection with receiving the prize or participating in the sweepstakes, including any income taxes, sales or use taxes, value added taxes, goods and services taxes, or harmonized sales taxes. Throughout the term of the sweepstakes, and as a condition to receiving any prize, you will provide Sponsor with an affidavit of eligibility, declaration of compliance, release, and any other forms, documents, or certifications, including any that may be required for Sponsor (or its affiliates, any third-party administrator, or promotional partners) to satisfy any information reporting or withholding tax obligations with respect to any payments related to the sweepstakes.
9. Limitation of Liability; Disclaimer of Warranties
By participating, entrants and winners agree to release and hold harmless Sponsor and its affiliates, and each of their respective officers, directors, employees, and agents (collectively, the "Sweepstakes Entities"), from and against any claim or cause of action arising out of participation in the Sweepstakes or receipt or use of any prize, including, but not limited to: (a) unauthorized human intervention in the Sweepstakes; (b) technical errors related to computers, servers, providers, or telephone or network lines; (c) printing errors; (d) lost, late, postage-due, misdirected, or undeliverable mail; (e) errors in the administration of the Sweepstakes or the processing of entries; or (f) injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant's participation in the Sweepstakes or receipt of any prize. 11. Disputes; Governing Law
The parties waive all rights to trial in any action or proceeding instituted in connection with these Terms and Conditions and the sweepstakes. Any controversy or claim arising out of or relating to these Terms and Conditions and/or the sweepstakes shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in the State of New York, City of New York.

13. Force Majeure Event
In the event an insufficient number of eligible entries are received and/or Sponsor is prevented from awarding prizes or continuing with the Sweepstakes as contemplated herein by any event beyond their control, including but not limited to fire, flood, natural or man-made epidemic of health of other means, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, public health crisis, order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control, then subject to any governmental approval which may be required, Sponsor shall have the right to modify, suspend, or terminate the Sweepstakes.
14. Severability
The invalidity or unenforceability of any portion or provision of these Terms and Conditions will not affect the validity or enforceability of any other provision. In the event that any provision of the Terms and Conditions is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. If there is a discrepancy between these Terms and Conditions and any other promotion materials, the Terms and Conditions will control and govern this sweepstakes. Sponsor's failure to enforce any term of these Terms and Conditions will not constitute a waiver of that provision.
15. Entire Agreement
These Terms and Conditions constitute the entire agreement, between you and Sponsor, that governs your participation in the sweepstakes. You agree that these Terms and Conditions supersede any prior or contemporaneous communications and proposals, whether oral or written.
